On January 13, 2021, STEP Miami – led by Branch Chair, Ceci Hassan – held a very timely and informative virtual event to discuss Regulation S and US Trusts. The event featured presenters, David Warren, Co-Founder and Chairman of Bridgeford Trust Company, Sergio Alvarez-Mena, Of Counsel at Jones Day, Kristen Rice-Gonzalez, Partner at Baker & McKenzie LLP, and Dave Diamond, President of The Northern Trust Company of Delaware.
The speakers took attendees through the Regulation S dilemma where there is a US trust with foreign persons and limitations on investments that may apply under the parameters set forth by Regulation S. They also reviewed different state law perspectives (South Dakota, Nevada, and Delaware) and discussed possible solutions.
